Nicholas spent seven years as a Principal Advisor at the ASX overseeing the listings of over a hundred companies. He has since worked as a company secretary and director to listed companies and has developed a wide network of private client advisers, high net worth individuals and sovereign fund managers.

Daniel has a comprehensive background in finance, having established himself as a broker and working more recently in corporate finance assisting with negotiations, project origination, technical due diligence and business development. He has extensive primary and secondary capital markets expertise and has been involved in a number of IPOS and capital rasiings.

Benjamin is a senior accountant with in excess of fourteen years’ experience in public accounting, corporate accounting and taxation. He possesses a comprehensive knowledge of the financial reporting requirements for listed companies, employee share arrangements and corporate tax obligations.

Matthew Foy

Matthew Foy

Compliance Director

Matthew spent four years at the ASX and possesses core competencies in publicly listed and unlisted company secretarial, administration and governance disciplines. His working knowledge of ASIC and ASX reporting, document drafting skills and an active role in the Governance Institute of Australia (GIA) State Governance Council ensure a solid base to make a valued contribution to clients.

Nick is a Fellow of the Association of Chartered Certified Accountants (ACCA) and a member of the Tax Institute Australia (ATIA). Nick has over 10 years’ experience in the financial reporting, auditing and taxation of a number of ASX listed and unlisted companies in Australia and the UK.

Constance Lian

Constance Lian


Constance earned her Masters Degree in Accounting and Finance from the University of Adelaide and has over 3 years of professional accounting experience in bookkeeping and financial report preparation. She has worked extensively with Australian subsidiaries of international companies on fundamental accounting needs and also has extensive experience in liaising and communicating with Chinese investors. She is currently working towards her Certified Practising Accountants qualification.

Sylvia Foong

Accountant & Assistant Secretary

Sylvia obtained her Bachelors of Commerce in Accounting and Finance from University of Western Australia, and commenced employment with Minerva as an Accountant and Assistant Company Secretary. Sylvia’s role includes general company secretariat duties, bookkeeping, and financial report preparation. Sylvia is currently pursuing her Chartered Accountants qualification, and has a Certificate in Governance Practice.

Faye Rao

Faye Rao

Associate – Corporate and Transactional Advisory

Faye has a Master of Finance and Bachelor of Commence in Accounting and Accounting Technologies. She has two years’ experience working as an accountant, and decided to pursue a career in Corporate Finance with Minerva. Faye’s primary role includes client relations, company secretariat duties, and financial and transaction analysis for Minerva and its clients. Faye is fluent in English, Cantonese and Mandarin.

Recent Transactions

XTD Limited (ASX:XTD)

Minerva acted as Compliance Manager to XTD Limited’s reverse takeover of White Eagle Resources Limited. Minerva assisted with the drafting of various legal agreements, prepared submissions to the ASX regarding the transaction (including escrow provisions and approval of performance shares), assisted the external auditor with the Independent Experts Report, drafted the Notice of Meeting, and worked with the company’s legal advisor on the due diligence committee and prospectus drafting.

Minerva continues to provide company secretarial, non-executive director and financial accounting services to XTD Limited.

CoAssets Limited (ASX:CA8)

Minerva acted as Corporate Advisor to CoAssets Limited, working closely with the Company’s lawyers for the Company’s capital raising IPO on the Australian Stock Exchange, and prior compliance IPO on the National Stock Exchange. The role included providing assistance with the Prospectus, participation in the Due Diligence Committee, the establishment of the CoAssets ListCo, review of the financial accounts and related matters, liaising with the external accountants, review and advice of presentations, websites and other marketing material.
